Hostonik.Net – Terms of Service (“Agreement”)

Effective Date: 20 OCT 2025

1. Introduction

This Agreement is between you (“User”, “you”, “your”) and Hostonik.Net (the “Company”, “we”, “us”, “our”), governing your use of the products and services provided by us (collectively, the “Services”). Your use of the Services indicates your acceptance of this Agreement.

2. Additional Policies and Agreements

Your use of the Services is also governed by the following policies which are incorporated by reference:

• Acceptable Use Policy (AUP)
• Copyright Infringement Policy
• Data Request Policy
• Privacy Policy Additional terms may apply to specific Services (e.g., domain registration, reseller hosting, VPS services) and are incorporated by reference where applicable.

3. Account Eligibility, Registration and Security

• You represent and warrant that you are at least 18 years of age and legally capable of entering into contracts.
• If you register and/or use the Services on behalf of another entity, you represent that you are authorised to bind that entity.
• You agree to provide complete and accurate information during registration and maintain your contact information up-to-date.
• You are fully responsible for all activity that occurs under your account, including your credentials’ confidentiality and any unauthorized use of your account.

4. User Content & Company Content

• “User Content” means all information, text, photos, videos or other content that you upload, store, publish or distribute using our Services. You are solely responsible for your User Content and any transactions or interactions conducted through your websites.
• You represent and warrant that you have all necessary rights to post or distribute the User Content and that it does not infringe on third-party rights.
• By using the Services you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, translate, excerpt and distribute your User Content for the purpose of providing Services.
• All other content made available by us through the Services (“Company Content”) is owned by us or our licensors. You may not modify, copy, distribute, republish or exploit any Company Content except as expressly authorised in this Agreement.

5. Your Responsibilities & Compliance with Laws

• You will comply with all applicable laws, rules and regulations (including export-control laws).
• You are responsible for providing any hardware, software or network access necessary to use the Services.
• You must maintain backup copies of your User Content. We do not guarantee backups or data recovery for your files.
• You are responsible for ensuring compatibility of your User Content and websites with the hardware and software we use.

6. Account Security and Systems

• You agree to maintain strong passwords and to secure your account credentials. If we determine your account is compromised, we may suspend it until you secure it.
• We may monitor our systems to detect unauthorized access or use, and you consent to such monitoring for the purposes of system security and operation.
• We may migrate your account between data-centers at our discretion for maintenance, legal or technical reasons.

7. Billing, Payment, Auto-Renewal & Taxes

• All fees for Services are due in advance for the service period you select.
• Unless otherwise stated, your Services will auto-renew on each renewal date and you authorise us to charge your payment method on file.
• You are responsible for providing valid payment information and maintaining any credit balance required for your account.
• Taxes (such as GST, if applicable) are not included in the listed fees unless explicitly stated and will be added to your invoice.
• Failure to pay may result in suspension or termination of Services; new orders may be blocked until outstanding balances are cleared.

8. Refunds, Cancellations and Money-back Guarantee

• We may offer a money-back guarantee (for example, 30 days) for certain hosting plans only. Such guarantee applies only to hosting fees and not to domains, SSL certificates, or additional add-on services.
• Some products or services may be non-refundable (e.g., domain registrations, renewals, certain add-ons).
• You may cancel your Services via your control panel; termination obligations for fees accrued prior to the effective cancellation apply.
• Upon termination, you may lose access to your account, and any outstanding fees remain payable.

9. Resource Usage Limits

• Shared-hosting accounts are intended for websites, email and active web content—not for general file storage, backups or off-site hosting.
• We reserve the right to review and terminate accounts for excessive CPU, memory, disk or bandwidth usage that interferes with other users.
• Limits for VPS, dedicated servers or other advanced services will be defined in the plan’s specifications you choose.

10. Reseller Terms and Client Responsibility

• If you are a reseller, you may not use shared-hosting accounts to resell hosting unless you have a reseller plan.
• You as reseller are responsible for ensuring that your customers comply with this Agreement. We are not responsible for support to your end-users — you must provide that.
• Resellers indemnify us for claims arising from your clients’ use of the Services. We may hold the reseller responsible for any violation by their clients.

11. Third-Party Products & Services

• We may offer third-party products and services (e.g., SSL, security, backup services). Your purchase and use of such services may be subject to additional terms from the third-party provider.
• We act as reseller or agent for some third-party services and are not liable for their performance, functionality or availability.

12. Termination

• We may terminate your access to the Services (in whole or part), suspend or delete content without refund if you:

  • fail to pay any fees;
  • violate any term of this Agreement;
  • engage in conduct that might harm us or others;
  • are abusive to our staff;
  • or for any other lawful reason.

• Upon termination, you will not be eligible for a refund of prepaid fees unless otherwise stated. User Content, websites and data may be irretrievably deleted.

13. Limitation of Liability

• IN NO EVENT will we, our directors, employees or agents be liable for any indirect, incidental, special, punitive or consequential damages (including lost profits, lost data) arising out of or in connection with your use of the Services, even if we’ve been advised of the possibility of such damages.
• Our total aggregate liability to you for any cause whatsoever shall be limited to the amount you paid us for the Services during the three (3) months prior to the act giving rise to liability.

14. Indemnification

• You agree to indemnify, defend and hold harmless Hostonik.Net, our affiliates, officers, directors, employees and agents (collectively “Indemnified Parties”) from and against any and all claims, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising out of:

  • your use of the Services;
  • your violation of this Agreement;
  • your acts or omissions.

15. Governing Law & Dispute Resolution

• For users in India: any dispute arising out of this Agreement shall be resolved by arbitration in [City], India under the provisions of the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. Each party will bear its own costs unless otherwise determined by the arbitrator.
• For users outside India: this Agreement shall be governed by the laws of India and jurisdiction shall lie in Indian courts (or as you may specify).
• [Optional: you may add an arbitration agreement for outside India as well.]

16. Warranty Disclaimer & Data Loss

• THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
• We do not warrant that the Services will be uninterrupted, error-free or completely secure; or that results will be obtained from their use.
• You are solely responsible for backing up your data; we are not liable for any loss of files or data stored on our servers.

17. Changes to This Agreement

• We reserve the right to modify or update this Agreement at any time. We will post a notice of any material changes on our website at least thirty (30) days in advance of effective date. Your continued use of the Services after changes constitutes your acceptance of the updated Agreement.

18. Severability; Waiver; Assignment; Force Majeure

• If any provision of this Agreement is found invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
• No failure or delay by either party to exercise any right hereunder shall be deemed a waiver of that right.
• You may not assign or transfer your rights or obligations without our prior written consent. We may assign our rights or subcontract our obligations without your consent.
• Neither party shall be liable for delays or failures in performance caused by circumstances beyond its reasonable control (e.g., acts of God, war, labour disputes, supply shortages).

19. Entire Agreement

• This Agreement, together with the referenced policies and any additional agreements incorporated by reference, constitutes the entire agreement between you and Hostonik.Net regarding your use of the Services and supersedes all prior or contemporaneous agreements.
